Terms of Service

By accessing or using PharmaSoft ERP ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

If you do not agree to these Terms, you must not use the Service.

PharmaSoft ERP is a cloud-based pharmaceutical Enterprise Resource Planning (ERP) platform that provides:

• 50+ integrated modules for pharmaceutical manufacturing, QC, inventory, sales, HR, and finance
• REST API access (Enterprise plan only)
• Data storage, backup, and security services
• Customer support as per your subscription plan
• Regular updates and feature enhancements

• Plans: Starter (₹49,999/mo), Professional (₹99,999/mo), Enterprise (custom pricing)
• Billing: Subscriptions are billed annually in advance via Razorpay
• Annual Discount: 15-20% discount for annual billing commitment
• Upgrades: Plan upgrades take effect immediately with pro-rated charges
• Downgrades: Plan downgrades take effect at the next billing cycle
• Taxes: All prices are exclusive of GST (18%) unless stated otherwise
• Late Payment: Services may be suspended after 15 days of non-payment

• You are responsible for maintaining the confidentiality of your account credentials
• You must not share login credentials between users (each user needs a separate account)
• You must notify us immediately of any unauthorized access to your account
• You must use strong passwords and enable two-factor authentication when available
• We reserve the right to suspend accounts showing suspicious activity

• Your Data: All pharmaceutical data entered into PharmaSoft remains your exclusive property
• Data Export: You can export your data at any time in standard formats (CSV, JSON, SQL)
• Data Isolation: Your data is logically isolated from other tenants in our multi-tenant system
• No Data Mining: We will never mine, analyze, or monetize your business data
• Our IP: PharmaSoft software, code, UI, and documentation remain our intellectual property

You agree NOT to:

• Use the Service for any illegal purpose or violate any applicable laws
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to other accounts or systems
• Use automated scripts or bots to access the Service without prior authorization
• Upload malicious content, viruses, or harmful code
• Resell or redistribute the Service without a valid partner agreement

Scheduled maintenance windows (2:00 AM - 4:00 AM IST) are excluded from uptime calculations. Service credits are issued for SLA breaches upon request.

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds for partial billing periods
• Data is retained for 90 days after cancellation, then permanently deleted
• Implementation fees and training costs are non-refundable
• Enterprise contracts may have custom cancellation terms

To the maximum extent permitted by law:

• PharmaSoft Solutions shall not be liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for data loss caused by factors outside our control (e.g., acts of nature)
• We are not responsible for compliance failures caused by incorrect data entry by users

• These Terms are governed by the laws of India
• Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra
• We encourage resolution through discussion before legal proceedings
